1. Agreement to Terms

By accessing or using ShipleyBI's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, don't use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

ShipleyBI provides marketing analytics, revenue attribution, and campaign optimization tools. Our Services include:

• Revenue attribution tracking across marketing channels
• Integration with advertising platforms and CRM systems
• AI-powered campaign optimization recommendations
• Automated reporting and analytics dashboards
• Lead management and follow-up automation
• Review management and reputation monitoring

3. Account Registration

To use our Services, you must:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account

You may not use another person's account without permission. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on each billing date. If payment fails, we may suspend your access until payment is received.

Free Trial

We offer a 14-day free trial. No credit card is required to start. At the end of your trial, you must select a paid plan to continue using the Services.

Refunds

We offer a 30-day satisfaction guarantee for new subscribers. If you're not satisfied within the first 30 days of your paid subscription, contact us for a full refund. After 30 days, subscriptions are non-refundable.

Price Changes

We may change our prices with 30 days notice. Price changes will take effect at the start of your next billing cycle. Your continued use of the Services after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Violate any third party's intellectual property or privacy rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Scrape, data mine, or extract data from the Services without permission
• Use the Services to send spam or unsolicited communications
• Impersonate any person or entity
• Use the Services to compete with ShipleyBI

6. Data and Privacy

Your Data

You retain ownership of all data you upload to or generate through our Services ("Your Data"). You grant us a license to use Your Data solely to provide and improve the Services.

Data Processing

We process data from your connected advertising platforms and CRM systems to provide analytics and insights. You represent that you have the right to share this data with us and authorize the necessary API connections.

Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by ShipleyBI and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission. You may not reverse engineer or attempt to extract the source code of our software.

8. Third-Party Integrations

Our Services integrate with third-party platforms (Google Ads, Facebook, Salesforce, HubSpot, etc.). Your use of these integrations is subject to each platform's own terms of service.

We are not responsible for the availability, accuracy, or policies of third-party services. Changes to third-party APIs may affect the functionality of our integrations.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We do not guarantee any specific results from using our Services. Marketing performance depends on many factors outside our control, including your industry, competition, ad creative, and market conditions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPLEYBI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ShipleyBI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third party's rights.

12. Termination

By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

By Us

We may suspend or terminate your access to the Services immediately if you violate these Terms, fail to pay fees when due, or engage in conduct that we determine is harmful to other users or our business.

Effect of Termination

Upon termination, your right to use the Services will immediately cease. We will retain Your Data for 30 days after termination, during which time you may request an export. After 30 days, we may delete Your Data.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought in the state or federal courts located in Utah.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and ShipleyBI regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
